Interstellar I.S., LLC is an independent telecommunications and IT advisor that earns commissions from suppliers when you buy their services. Nexus Pay, LLC is an independent payment-processing sub-ISO that earns residuals from processors based on your processing volume. We tell you exactly how we get paid because how we get paid affects whose interests we serve.
1. Who we are and how we are paid
This disclosure explains the compensation arrangements between Calcerta Group™'s operating companies and the suppliers, processors, and sponsor banks that ultimately deliver services to our clients. We provide this disclosure because we believe customers should understand how their advisor is compensated, even when the law does not strictly require it.
2. Interstellar I.S., LLC — master-agent / sub-agent telecom and IT advisory
How the model works
Interstellar I.S., LLC operates as an independent advisor in the telecommunications and information-technology supplier markets. We do not own or operate fiber, wireless, voice, security, cloud, or other underlying infrastructure. Instead, we have agency, master-agent, and sub-agent relationships with more than 503 suppliers. When a client engages us:
- We canvas relevant suppliers within our portfolio and present the best fits
- The client signs a service agreement directly with the chosen supplier
- The supplier pays Interstellar I.S., LLC a commission, residual, or other compensation in connection with the placement
- The client pays no separate advisory fee, hourly charge, or retainer to Interstellar I.S., LLC
What this means for you
- You are not double-charged. The supplier's pricing to you is the same whether or not we are involved. The supplier funds our compensation out of its margin, not as an add-on to your bill.
- We have an incentive structure. Different suppliers pay different commission rates, and some pay on a recurring basis (residuals) while others pay one-time. We disclose any material commission-rate variation that could influence a recommendation.
- We are not impartial in the sense that a fee-only advisor is. We are an independent advisor compensated by suppliers. We work to recommend the best fit, but you should know the compensation structure when weighing our recommendations.
- You can ask. If you want to know how we are compensated on a specific recommendation, ask. We will tell you.
3. Nexus Pay, LLC — merchant services and payment processing
How the model works
Nexus Pay, LLC operates as an independent sales organization (sub-ISO) in the merchant payment-processing industry. We do not directly process payments. Instead, we have sponsor-bank and processor relationships through which we place merchant accounts. When a merchant engages us:
- We perform a forensic audit of the merchant's existing processing statement
- We benchmark the merchant's pricing and structure against the processor landscape
- We recommend a processor and pricing structure (which may be the merchant's existing processor with revised pricing, or a different processor)
- If the merchant proceeds, the merchant signs a processing agreement directly with the processor and sponsor bank
- Nexus Pay, LLC earns a residual based on the processing volume of the merchant account
Sponsor-bank and processor relationships
Nexus Pay, LLC currently maintains or has pending relationships with the following processors and sponsor banks (as of the effective date of this disclosure):
- Maverick Payments
- Beacon Payments
- Kurv / EMS
- North
- CardConnect
- Pineapple Payments (and others as the relationship portfolio expands)
Specific sponsor-bank disclosures appear in the merchant processing agreement at the time of signing.
What this means for you
- Our incentive is aligned with yours on most metrics. If you save money on processing, you stay with us. We earn residual income only as long as you continue processing through the placed account. We are paid for your retention, not just your initial signing.
- Different processors pay different residual rates. We disclose any material residual-rate variation that could influence a recommendation. We do not steer to a higher-residual processor when it is not the best fit.
- Surcharging and dual-pricing programs are regulated. Where Nexus Pay, LLC recommends a surcharge or dual-pricing program, the program must comply with card-network rules and applicable state law (in Colorado, including C.R.S. § 5-2-212 and SB21-091, effective July 1, 2022). The applicable processor and sponsor bank are responsible for program compliance; Nexus Pay, LLC will explain the program structure but cannot warrant compliance outcomes outside its control.
4. Calcerta Group™ — clarification of brand vs. entity
Calcerta Group™ is a customer-facing brand. It is not a separate operating entity, and it does not contract directly with customers, suppliers, processors, or sponsor banks. All commercial relationships are with the applicable operating LLC (Nexus Pay, LLC or Interstellar I.S., LLC). Each LLC maintains its own books, insurance, sponsor-bank or supplier-agency relationships, and compliance posture.
5. Conflicts of interest and how we manage them
- Disclosure-first. We disclose our compensation model in writing on this page, in our Terms of Service, and in any specific supplier or processor agreement.
- Best-fit-first recommendations. We document our recommendation rationale internally so that any deviation from the lowest-cost or highest-fit option is explainable on review.
- You can request alternatives. If you believe our recommendation is influenced by compensation, ask for the next-best alternative and the rationale for our preference.
- Lifecycle commitments are written. Our published service commitments (90-day renewal notice, 24-hour escalation response) apply regardless of compensation structure.
